CONSTITUTION

MID-DEL ARCHERS INC.

Article 1: Name and Purpose

Section A. This organization shall be known as Mid-Del Archers Inc.

Section B. Its purpose is to promote archery in all forms and to work uniformly and effectively in providing for development of the sport or archer in conformance with the will of the majority of the membership; To foster and perpetuate a spirit of good fellowship and sportsmanship among all archers; To conduct a continuous educational program designed to acquaint the public and the archer with the use of the bow for recreation and as a weapon suitable for hunting legal game; To foster, expand and to promote the practice of field archery and any other archery games as the club may adopt; and To enforce uniform rules, regulations, procedures, conditions and methods of conducting such games.

 

Article II: Membership

Section A. Qualification for Membership

Any person who is interested in the objectives of the Mid-Del Archery Club may be considered as a candidate for membership, provided that said person is of good moral character.

Membership will not be prohibited from any person on basis of race, color, creed, sex, age, occupation or nationality.

Such candidates, having filed a written club application, shall if approved by the required vote (Section B.), become a member of the club upon:

a. Signing and receiving a copy of the Constitution and By-Laws.

b. Paying current dues.

Section B. Manner of Election of Membership

Election of membership shall be by ballot from the Board of Directors.

2. A majority of negative votes shall be sufficient to reject an applicant for membership.

 

Section C. Duties of Members:

All members should take part in the programs and support activities of the club..

2. Unless otherwise specified, all members shall contribute to the maintenance and upkeep of club property and shooting ranges by participation in at least one(1) work party annually. Work parties will be scheduled at least quarterly and more frequently if required. Failure to participate in ay least one work party per year may result in censure and/or change of membership category to associate member.

 

Article III: Board of Directors

Sections A. Constitution of the Board:

Voting board members will be elected by the club membership.

Members of the Board shall consist of:

a. President of the Board

b. Vice-president of the Board

c. Secretary/Treasurer

d. Range Captain

e. Directors at large will be elected, with one (1) voting Director for each twenty- (20) adult club members, up to a maximum of eight (8) Directors.

Section B. Election and Tenure:

The voting Board of Directors members shall be nominated and seconded from the general membership ., and voted upon by secret ballot annually at the General Membership Meeting in October.

a. Nominations shall be submitted from the general membership

  • thirty (30) days prior to the election.
  • b. Each office shall be voted on separately, starting with Directors and proceeding to the office of President.

    c. Term of office shall be one (1) year.

    d. Elected Board of Directors will take effect November 1 through October 31.

    e. The Secretary/Treasurer will hold office for one (1) year.

    i. The incumbent Secretary/Treasurer will work with the newSecretary/Treasurer in transition for a period of one (1)month

    a. An audit shall be preformed no later than December 15th  following the election.

    b. Auditors shall be outgoing Board Members and the elected officers, plus on member from the general membership.

    Section C. Eligibility:

    1. Any adult member of the club shall be eligible for election to the Board of

    Directors, provided he/she:

    Is a member in good standing.

    Section D. Vacancy on the Board:

    Should a vacancy on the Board occur for any reason, a replacement may be elected from the general membership to fill the balance of that term in accordance with Section B1.a. except the date is to be the current month.

    Section E. Duties of Board Members.

    Board members shall operate at all times in the best interest of the archery club.

    Duties of each member will be in accordance with the By-Laws, Article IV, Section B. “Duties of Officers”.

     

    Article IV: Meetings

    Section A. Time and Location:

    General membership meetings shall be conducted on the Third Sunday of the month, with consideration given for alternate dates due to holidays.or another time as agreed to by the membership at a regular monthly meeting.

    Location will be at the discretion of the Board of Directors.

    Section B. Nature of Meetings:

    1. All meetings will be conducted in accordance with By-Laws Article VI.

    Section C. Special Meetings:

    Special meetings, of either the Board of Directors or the general membership, may be called by the President of the Board whenever he/she deems it necessary.

  • Emergency meetings may be suggested to the President by other Board of
  • Directors.

     

    Article V: Quorum

    Section A. Definition:

    For any valid meeting of the club. A quorum shall consist of a majority of the voting membership present.

                   

     

    Article VI: Range Construction and Operation

    Section A. The ranges will be constructed and maintained to comply at all times with affiliated archery association specifications.

    Section B. All shoots will be conducted to comply with affiliated archery association regulations, except when specifically stated otherwise.

     

    Article VII: Amendments

    Section A. The Constitution may be amended at any regular business meetings of the general membership or at a special meeting called by the Board of Directors specifically for this purpose. A 2/3 vote of those present and voting shall be required for passage, provided that written or printed notice of the proposed amendments has been given to all members at least two (2) weeks prior to the meeting.

    Section B. By-laws of this club may be adopted at any general meeting by a majority vote, provided that previous written notice of at least two (2) weeks has been given to all members. Upon adoptions of the By-Laws, they shall be amended only in accordance with provisions set forth in the By-Laws themselves.
